Article 1 (Purpose)
These Terms set out the conditions under which a Creator (the "Seller") sells paid content on the Briko Marketplace (the "Marketplace"). The Seller must accept these Terms to set a paid price. Listing free ($0) content does not require accepting these Terms.
The Seller must also comply with the Briko Terms of Service. Where the Terms of Service and these Terms differ on matters of selling, these Terms prevail.
Article 2 (Parties)
These Terms are an agreement between the Seller and Redbrick Limited (registered in Abu Dhabi Global Market (ADGM), Abu Dhabi, United Arab Emirates; the "Company"), which handles sales on the Marketplace. The Company is an affiliate of the operator of the Redbrick service; it receives Marketplace payments and pays earnings to Sellers.
Article 3 (Sales Structure — Consignment Sale)
By listing paid content, the Seller grants the Company the right to sell that content to buyers and to license it to them.
The Company sells the content to buyers in its own name, as the seller. In return for the sale, the Seller receives the earnings described in Article 6.
Copyright in the content stays with the Seller. What the Seller grants the Company is not ownership but the licence needed to sell, distribute and promote the content.
The Company permits buyers to use the content under the Briko Marketplace License (the "Standard License"). The Seller may not attach a different licence to individual content; even if a separate licence is included in the content files, the Standard License prevails.
Article 4 (Licence the Seller Grants the Company)
The Seller grants the Company and its affiliates a worldwide, non-exclusive licence to copy, store, display, transmit, distribute and convert the content for the following purposes:
Publishing and selling the content on the Marketplace
Delivering the content to buyers and letting buyers download it again
Creating preview images, 3D previews and thumbnails, and converting the content into lightweight files for web display
Promoting the Marketplace and the content (including social media, events and featured areas)
Operating and protecting the Marketplace, including review, report handling and fraud prevention
This licence continues even after the Seller stops selling, to the extent needed for buyers who have already purchased the content to download it again.
Article 5 (Requirements and Review of Content for Sale)
Rights: The Seller warrants that it holds all rights needed to grant the licences in these Terms for the content it sells. The Seller must not use another person's works, trademarks, likeness or brand without permission, re-upload content made by someone else, or sell assets it has no right to resell.
AI-generated content: Results created with Briko's AI 3D generation feature may be sold. However, the inputs used for generation (prompts, images) must not infringe anyone else's rights. The Company checks the generation engine information during review and does not approve a sale that does not meet the engine's terms for commercial use.
Matches the description: Content must be complete and working, and the actual files must match the title, description and thumbnail on the detail page.
Prohibited content: Content that is illegal, obscene, hateful or violent, exposes personal information, impersonates a brand, or contains malicious code may not be listed.
Review: All content is published only after passing the Company's review. The Company approves, rejects (with the reason given; resubmission is possible) or requests changes based on quality, rights and policy criteria. The target turnaround is 2 to 3 business days. If published content is edited, only the edited version is reviewed again, and the existing version stays on sale in the meantime.
Action after publication: If a report is received or a violation is confirmed, the Company may make published content private and review it again. Rights holders may report infringement through customer support.
Article 6 (Pricing and Revenue Share)
Price: The Seller chooses free ($0) or one price from the list set by the Company. Paid prices range from $0.99 to $999.99 and all end in .99. Prices are in US dollars (USD), and buyers may pay in their local currency.
Price changes: A changed price applies to new orders from then on.
Earnings calculation: Each sale is calculated as follows.
Net revenue = Sale price − the processing fee the payment provider (Stripe) actually charged on that sale Seller share = Net revenue × 80% Company share = Net revenue × 20%
The processing fee is not an estimate but the amount actually charged (USD).
For an order in which several items were paid for together, the processing fee is split by item amount. Any amount under one cent left over from rounding is added to the most expensive item.
Even if the buyer pays in a local currency, earnings are calculated in USD.
Sales taxes such as VAT paid by the buyer are not included in the sale price; the Company collects and remits them through the payment provider.
The Seller can see the sale price, processing fee and Seller share for each sale on the seller screen.
Article 7 (Confirmation of Earnings and Payout Requests)
Confirmation: The Seller share is confirmed 30 days after the purchase date. Until then it is "pending" and may be refunded.
Payout request: When the confirmed balance is $100 or more, the Seller may request a payout on the seller screen. There is no automatic monthly payout. Below $100 a request cannot be made; the balance does not expire and keeps accumulating.
Information entered with the request: the amount requested (by default, the full requestable amount), the recipient's legal name (matching the account holder's name), email, country of residence, and whether the recipient is an adult. The Seller also agrees to the following: re-confirming these Terms, receiving the amount less the transfer fee, and having the payout withheld if the information is false.
Bank details: The bank name, SWIFT code, account number (including IBAN or routing number), and the recipient's address and contact details are collected after the request on a separate form that a Company staff member sends by email. This information is not stored in the service.
Status: The requested amount leaves the requestable balance immediately and becomes "Processing". When the Company sends the transfer it becomes "Paid"; if the Company withholds or rejects the payout it becomes "Rejected" and the amount returns to the requestable balance.
Transfer: The Company sends an international transfer from a bank account in the Company's name to an account in the recipient's name. The amount received is the requested amount less the transfer fee. Intermediary and receiving fees charged by the recipient's bank are separate and outside the Company's control.
Exchange rate: If the Seller receives the payout in a currency other than USD, the bank's exchange rate at the time of transfer applies.
Statements: The Company issues a statement for each transfer and sends it to the email address given in the payout request. A statement includes the previous balance, sales, refunds, processing fees, Seller share, amount paid and exchange rate applied, and is not changed after it is issued. Refunds that occur after a statement is issued are reflected in the next statement.
Article 8 (Refunds and Deductions)
Marketplace purchases are refunded only as a whole order. When an order is refunded, all of the Seller's earnings from that order are cancelled.
Earnings not yet transferred are removed from the balance. If earnings already transferred are later refunded or charged back, they are deducted from the next payout request. The balance may therefore become negative, and a negative balance is made up from later earnings.
The payment provider does not return the processing fee on a refund. The Company bears this loss, and it is not deducted from the Seller share.
The Company decides on refunds in accordance with the Briko Refund Policy. The Seller may ask the Company to refund a buyer, for example because of a defect in the content.
Article 9 (Payout Holds)
The Company may withhold payouts until an investigation is complete in the following cases:
There is a report of rights infringement or a dispute concerning the content
Fraud, fraudulent payment or abnormal transactions are suspected
The Seller's account is under restriction
The recipient's age or name was reported falsely
If rights infringement or fraud is confirmed, the related earnings are not paid, and amounts already paid may be reclaimed.
Article 10 (Minor Sellers)
A minor (under the age of majority under the law of their country of residence; under 19 in the Republic of Korea) may sell paid content only after stating in seller onboarding that they are a minor and confirming "I have told my legal guardian and obtained their consent."
A minor Seller's earnings are paid only in the legal guardian's name. When requesting a payout, the legal guardian is entered as the recipient, and the guardian's relationship to the Seller and the guardian's signed consent form (accepting these Terms, consenting to sales made so far, and receiving payment in the guardian's name) are submitted on the form the Company sends.
When a minor Seller reaches the age of majority, they must accept these Terms again and are then paid in their own name. The remaining balance carries over, and amounts already paid to the legal guardian stand.
Age and name are checked through the self-declaration made with the payout request and the recipient's name. The Company does not collect resident registration numbers, identity documents or dates of birth.
Article 11 (Taxes)
The Company pays earnings to Sellers as a foreign corporation with no place of business in the Republic of Korea and does not withhold tax.
Income tax and other taxes on earnings are reported and paid by the Seller. Residents of the Republic of Korea may be required to file a comprehensive income tax return.
The Company emails a statement for each payout for use in filing (Article 7(8)). The Company does not give tax advice; Sellers should consult a tax professional if needed.
Article 12 (Payment of Remaining Balances)
In the following cases, the remaining confirmed balance is paid, less the transfer fee, even if it is under $100:
The Seller requests account termination
There has been no sales or login activity for 12 months (the Company will attempt payment after notifying the Seller in advance)
The Company closes the Marketplace
The Company does not extinguish long-unclaimed balances without prior notice and a sufficient grace period.
Article 13 (Withdrawing Content and Termination)
The Seller may stop selling any content at any time. The Company removes that content from the Marketplace within a reasonable time.
Even if the Seller stops selling or terminates their account, licences of buyers who have already purchased remain in effect, and those buyers may continue to use and download the content.
The Seller may terminate these Terms at any time; on termination, sales of all paid content stop. The Company may terminate these Terms or restrict sales if the Seller breaches these Terms or the Terms of Service.
Confirmed earnings are paid after termination in accordance with Articles 9 and 12.
Article 14 (Seller Responsibilities)
The Seller is responsible for the content and quality of its content and must respond in good faith to buyers' questions about the content. Marketplace payment and refund enquiries are handled by the Company.
If the Company or a buyer faces a claim because the Seller's content infringes a third party's rights, the Seller compensates the resulting damages and holds the Company harmless.
The Company provides the Marketplace "as is" and does not guarantee sales volume or exposure. Except in cases of intent or gross negligence, the Company's liability is limited to the amount the Company paid the Seller in the 12 months before the claim.
Article 15 (Personal Information)
The Company processes the record of seller terms acceptance, per-sale earnings and payout request information in accordance with the Briko Privacy Policy. Bank details for transfers and legal guardian consent forms are not stored in the service; they are kept with restricted access and destroyed once the retention period for transfer and accounting records has passed.
Article 16 (Changes to These Terms)
When the version of these Terms changes, the Seller must accept the new version before setting or changing a paid price. Until then, content already published stays on sale and earnings already accrued continue to be paid.
The Company may change these Terms. Changes unfavourable to Sellers, such as to the revenue share, confirmation period or minimum payout amount, are announced in the service and by email from 30 days before they take effect. Changed conditions apply to sales made after the effective date and are not applied retroactively to sales already made. A Seller who does not agree to the changed Terms may stop selling and terminate these Terms before the effective date.
Article 17 (Governing Law and Disputes)
These Terms are governed by the laws of the Republic of Korea. The Seoul Central District Court has jurisdiction at first instance over disputes relating to these Terms.
